1. Who provides the service
Ristoflow is provided by Fermich SRL, Via Walther von der Vogelweide 11/A, 39031 Brunico (BZ), Italy — VAT and tax number 03195880210, REA BZ-240085. Contact: gianmaria.ferrari@fermich.cloud.
2. Who it is for
Ristoflow is intended exclusively for businesses in the restaurant and hospitality sector. It is not a consumer service. Whoever subscribes declares that they act in the exercise of their business activity and have authority to bind the business they represent.
3. What the service does
Ristoflow receives the calls the restaurant forwards to it, plays an announcement, and sends WhatsApp and SMS messages on the restaurant's behalf according to the flows the restaurant itself configures. The restaurant retains ownership of its phone number, of its WhatsApp Business account and of its customers' data.
4. The restaurant's obligations
- Use the service in compliance with the law and with WhatsApp's and Meta's policies, including those on business messaging and recipient consent.
- Not send promotional messages through templates approved for service purposes.
- Not use the service to contact people who have not contacted the restaurant.
- Provide its own customers with the privacy notice required by law and collect any necessary consents.
- Keep access credentials secure and promptly report any unauthorised use.
- Keep a valid payment method on its WhatsApp Business account where Meta requires one for message sending.
5. Third-party services
The service relies on third-party platforms, in particular Meta for WhatsApp and Twilio for calls and SMS. The availability, rules and pricing of those platforms are set by the respective providers and may change. Fermich SRL is not liable for suspensions, limitations or changes imposed by those providers, including any Meta decision regarding the restaurant's account or message templates.
6. Availability and support
We undertake to keep the service running and to announce planned work in advance. Support is provided by email and phone during office hours, with on-call cover during evening service for faults that prevent delivery of the service. The service is provided without a guarantee of absolute continuity: interruptions may occur due to maintenance, faults or external causes.
7. Liability
Ristoflow is a tool supporting the restaurant's activity and does not replace its decisions. The restaurant remains responsible for the content of the messages it configures and for its relationships with its customers. To the extent permitted by law, Fermich SRL's liability is limited to the fees received in the twelve months preceding the event, and is excluded for indirect damages, loss of profit and loss of business opportunity.
8. Fees
Commercial terms are those agreed in writing with each restaurant. Message costs charged by Meta and telephony costs charged by Twilio may be billed directly to the restaurant by those providers.
9. Data protection
The processing of personal data is governed by the privacy policy and by the data processing agreement under Art. 28 GDPR, which forms an integral part of the contract and is signed before activation.
10. Duration and termination
The relationship is open-ended and either party may terminate with thirty days' notice. On termination, data is returned or deleted within thirty days, as set out in the privacy policy. We may suspend the service without notice in the event of unlawful use or of breaches of Meta's policies that put the accounts involved at risk.
11. Changes
Material changes to these terms will be notified at least thirty days in advance. Continued use of the service after that period constitutes acceptance.
12. Governing law and jurisdiction
Italian law applies. The courts of Bolzano have exclusive jurisdiction over any dispute.
